Project-specific proposals and these terms work together as one clear agreement.
Terms & Conditions
Clear terms.Stronger work.
A transparent framework for how we scope, create and deliver ambitious digital work — and how both sides are protected throughout the partnership.
Responsibilities, ownership, payment and remedies are stated for both parties.
Dutch law applies, while mandatory consumer protections remain fully intact.
Identity and applicability
These terms and conditions apply to every proposal, statement of work, order and agreement under which Quantumverse Studios supplies services or deliverables to a client.
Legal business details are provided prior to entering into an agreement.
These terms apply to business clients and consumers. If mandatory consumer law gives a consumer stronger rights, that law prevails. A client’s own purchasing or other standard terms do not apply unless we expressly accept them in writing.
Definitions
- Agreement: the accepted proposal, statement of work or other written arrangement, together with these terms and any schedules.
- Client materials: all information, content, data, trademarks, credentials and other items supplied or approved by the client.
- Deliverables: the specific work product identified in the proposal, such as strategy, copy, creative assets, websites, automations, software or applications.
- Services: the professional services described in the agreement, including branding, copywriting, content creation, website development, AI automation, application development and related consultancy.
- Third-party services: hosting, domains, software, APIs, platforms, fonts, stock materials or other products supplied by another party.
Proposals and formation
Proposals are non-binding until accepted within the stated validity period. An agreement is formed when the client signs or expressly accepts our proposal, confirms the assignment in writing, or asks us to begin and we accept that instruction.
The proposal defines the project-specific scope, deliverables, assumptions, fees, payment schedule and indicative timing. If documents conflict, the following order applies: the signed statement of work or proposal, any data processing agreement, these terms, and then other project documentation.
Estimates are based on the information available when issued. Unless expressly stated as fixed, quantities, timelines and costs may be adjusted through the change-control process when assumptions prove incomplete or circumstances change.
Client responsibilities
Good work depends on timely collaboration. The client will appoint an authorised contact and provide accurate information, decisions, access, materials and feedback reasonably required for the project.
- The client confirms it has all rights and permissions needed for client materials and instructions.
- The client reviews deliverables and provides consolidated feedback within the agreed time.
- The client keeps independent backups of its materials and protects credentials and accounts under its control.
- The client is responsible for final business, legal, regulatory and factual approval of content and for how deliverables are used after acceptance.
We may rely on information and approvals supplied by the client. Delay or additional work caused by missing, late or inaccurate input may affect the schedule and price.
Performance, timing and delivery
We perform the services with reasonable professional skill and care and in accordance with the agreed scope. Timelines are estimates unless a deadline is expressly identified as binding. A schedule starts only when the agreement is complete, any initial payment is received and the required client input is available.
Milestones may move when the client delays decisions or materials, requests changes, or when a third party or circumstance outside our reasonable control affects delivery. We will communicate material effects and take reasonable steps to limit delay.
Electronic delivery, access to a staging environment, publication to an agreed platform, or another method stated in the proposal constitutes delivery.
Changes and additional work
A request outside the agreed scope is a change. Before performing material additional work, we will explain its likely effect on fees and timing and seek written approval. Approval may be given by email.
Minor implementation decisions that are reasonably necessary to complete the agreed scope do not require a separate change order. Revisions are limited to the rounds and purpose stated in the proposal. Further revisions, changed directions, restored work or work caused by inaccurate client input may be charged at the agreed rate or a separately quoted fee.
Fees, invoicing and payment
Fees, instalments and any deposit are stated in the proposal. Unless stated otherwise, amounts exclude VAT and third-party costs. Invoices are payable within 14 calendar days of the invoice date, without set-off or suspension except where mandatory law provides otherwise.
If payment is late, we may send a reminder and suspend work after reasonable notice. Statutory interest and reasonable collection costs may apply. A consumer will first receive any legally required payment notice and opportunity to pay before collection costs are charged.
Deposits reserve capacity and fund project commencement. They are credited against the project fee. Their treatment upon cancellation follows the cancellation section below and mandatory consumer law.
Review, acceptance and corrections
The client will inspect each deliverable promptly. Unless the proposal states another period, the client should report a material deviation from the agreed scope within 10 business days after delivery, with enough detail for us to assess it.
We will correct a reproducible material deviation that is within our responsibility and reported on time. A deliverable is accepted when the client approves it, uses or publishes it, or the review period passes without a reported material deviation. Acceptance does not remove mandatory consumer rights or rights relating to a hidden defect that could not reasonably have been discovered earlier.
Maintenance, browser or platform changes, new feature requests and third-party failures after acceptance are separate work unless a support arrangement expressly includes them.
Intellectual property
Each party retains ownership of materials, methods, know-how and intellectual property it owned or developed independently before the agreement. Quantumverse retains its reusable tools, systems, templates, code libraries, processes and general expertise.
Rights in bespoke final deliverables are transferred or licensed to the client only as expressly stated in the proposal and only after full payment. Unless the proposal states otherwise, the client receives a perpetual, worldwide licence to use the accepted final deliverables for its own business purposes. Drafts, rejected concepts and unused directions remain ours.
Third-party materials remain subject to their own licences and terms. The client is responsible for ongoing licence, subscription, hosting or platform fees that are identified as client costs.
After public launch, we may identify the client and display non-confidential final work in our portfolio and awards submissions. We will respect written confidentiality restrictions and a reasonable written request not to publish.
AI and emerging technology
We may use AI-assisted and automated tools as part of research, ideation, production, testing or operational workflows where appropriate. We apply human direction and review to deliverables within the agreed scope.
AI-assisted output can be probabilistic and may not be exclusive. Unless expressly agreed, we do not guarantee that an output can be registered as intellectual property, is unique worldwide, or is free from similarity to independently created material. We will not knowingly use confidential client information to train a public model.
The client must not ask us to process personal, confidential or regulated information through an AI system unless it is authorised and the parties have agreed suitable safeguards.
Third-party services and accounts
Digital work often depends on third-party services. Their availability, security, prices, policies and functionality are controlled by their providers. We are not responsible for a third party’s independent act, outage or change, but we will use reasonable care when selecting and integrating services within our remit.
Where practical, domains, hosting, advertising, app-store and key platform accounts will be registered to or transferred to the client. The client must maintain its subscriptions, credentials, legal notices and platform compliance after handover. Work required because a third party changes its service or terms is additional work unless support coverage says otherwise.
Confidentiality and data protection
Each party will keep the other party’s non-public commercial, technical and strategic information confidential, use it only for the agreement, and share it only with people who need it and are bound by suitable confidentiality duties. This does not cover information that is public without breach, already lawfully known, independently developed, or lawfully obtained from another source.
Disclosure is permitted where required by law, after advance notice where legally allowed. These duties continue after the agreement ends.
Each party must comply with applicable data-protection law. If Quantumverse processes personal data solely on the client’s documented instructions, the parties will enter into a data processing agreement where required. Our handling of website and business-contact data is explained in the Privacy Policy.
Warranties and results
We warrant that services will be performed with reasonable professional skill and care. If we materially fail to meet that standard, our first responsibility is to re-perform or correct the affected work within a reasonable period where that is possible.
Strategy, creative work, search visibility, advertising, automation and software can be affected by markets, audiences, algorithms, platforms and client decisions. We do not guarantee specific revenue, rankings, reach, conversion, approval by a platform, uninterrupted operation or another commercial result unless a measurable guarantee is expressly included in the agreement.
Nothing in these terms limits a consumer’s statutory conformity, remedy or warranty rights.
Liability
Nothing excludes liability that cannot lawfully be excluded, including liability for intent or deliberate recklessness by our management, death or personal injury caused by negligence, fraud, or mandatory consumer rights.
For business clients, our aggregate liability arising from an agreement is limited to direct, reasonably foreseeable loss and to the fees paid or payable for the affected project during the 12 months preceding the event giving rise to the claim. We are not liable for indirect or consequential loss, loss of profit, revenue, opportunity, goodwill or data, except where such limitation is not permitted by law.
The limitation does not apply to the extent damage results from the client’s failure to follow documented instructions, maintain backups, secure its accounts, or from client materials or a third-party service outside our control. The client must notify us promptly and take reasonable steps to reduce loss.
Suspension, cancellation and termination
Either party may terminate an agreement for a material breach that is not remedied within a reasonable written cure period, or immediately if the other party becomes insolvent or continuation would be unlawful. We may suspend work for overdue payment, unsafe or unlawful instructions, or a serious security risk after notice where reasonably possible.
A client may cancel a project for convenience by written notice. The client must then pay for work performed, approved additional work and non-cancellable third-party commitments up to the cancellation date. For business clients, any further cancellation or reserved-capacity fee applies only if stated in the proposal.
On termination, each party will return or delete confidential material where reasonably required, subject to legal retention duties and routine backups. Accrued payment, intellectual-property, confidentiality, data-protection, liability and dispute provisions survive.
Consumers and right of withdrawal
If a consumer concludes a service agreement at a distance or away from our business premises, a statutory 14-day withdrawal period will usually begin on the day after the agreement is concluded. The consumer may withdraw without giving a reason by sending an unambiguous statement to info@quantumversestudios.com.
If the consumer expressly asks us to start during the withdrawal period, the consumer owes a proportionate amount for services supplied up to withdrawal. The right may end after the service is fully performed only where the consumer gave the legally required prior express consent and acknowledged the consequence.
Model withdrawal statement: “I hereby withdraw from the agreement for [service], concluded on [date]. Name: [name]. Address: [address]. Date: [date].” A consumer may use this wording but is not required to do so.
Any legal exception or additional protection remains fully applicable. Project-specific pre-contract information and consent will be supplied separately where required.
Events outside reasonable control
Neither party is responsible for delay caused by an event it could not reasonably prevent or overcome, such as a major infrastructure failure, cyber incident despite appropriate safeguards, natural disaster, epidemic, government measure, war, civil disturbance, labour disruption or essential supplier outage.
The affected party will notify the other, limit the effect where reasonably possible and resume performance when able. Obligations are suspended only for the duration and extent of the event. If a material interruption continues for more than 60 days, either party may end the affected work by written notice, with payment due for work already performed and unavoidable commitments.
Complaints and disputes
Please send a complaint promptly to info@quantumversestudios.com with the relevant project and a clear description. We will acknowledge it and aim to provide a substantive response within 14 days. If more time is reasonably needed, we will explain why and give a new target date.
The parties will first try in good faith to resolve a dispute through direct discussion. Dutch law governs the agreement. Disputes that cannot be resolved will be submitted to the competent court in the Netherlands, while a consumer retains every mandatory right to use the court or procedure available under applicable consumer law.
General provisions
Neither party may assign an agreement without the other’s consent, except that we may assign it as part of a genuine business transfer if this does not reduce the client’s rights. We may use qualified subcontractors while remaining responsible for our contractual obligations.
If a provision is invalid or unenforceable, the remainder continues. The parties will replace it with a valid provision that most closely reflects its lawful purpose. A failure to enforce a right is not a waiver.
We may update these terms for future agreements. Changes to an existing agreement apply only when agreed or when the agreement expressly permits a reasonable change and applicable law allows it. Notices may be sent to the email addresses used for the project.
